Blue Cloud approves all-share Global Impx acquisition
Blue Cloud Softech Solutions has approved an all-share acquisition of Global Impx, a deal that would give the Indian listed company full ownership of the US-based energy and digital infrastructure platform.
The board-approved transaction covers 100% of Global Impx and remains subject to definitive agreements and regulatory, corporate and shareholder approvals. A special resolution will be put to shareholders at an extraordinary general meeting.
Based on an independent valuation report, the deal values Global Impx at about ₹372.81 crore. The all-share structure means there will be no immediate cash outflow, as the consideration will be paid in shares.
The acquisition would expand Blue Cloud beyond its existing technology activities into energy-linked digital infrastructure. Global Impx brings operations and projects spanning distributed energy systems, Energy-as-a-Service models, AI-led energy optimisation, virtual power plant platforms and project development work.
Odisha asset
A key asset in the proposed transaction is a land parcel of about 196.7 acres at Chhatrapur in Odisha, held through Geo Impex & Logistics, a step-down subsidiary of Global Impx. The site is near Gopalpur Port and NH-16, has IDCO approvals, and is earmarked for phased data centre development.
The development roadmap starts with 5 MW in the first phase, rising to 25 MW in the second and 100 MW in the third. The site lies within the Odisha industrial corridor and close to emerging subsea cable connectivity infrastructure.
If the transaction is completed, Blue Cloud plans to use the platform for energy-integrated data centres and AI compute infrastructure. It also intends to set up a dedicated AI and Data Centre Infrastructure vertical focused on renewable energy systems, battery storage, hybrid infrastructure and AI-led energy optimisation linked to data centre management systems.
After completion, Global Impx would become a wholly owned subsidiary of Blue Cloud. ConnectM Technology Solutions, Geo Impex & Logistics, Cambridge Energy Resources, CER Microgrids and CER Rooftop would become step-down subsidiaries.

The proposed acquisition comes as companies globally look for ways to link data centre expansion with more reliable energy supply, especially as AI workloads lift electricity demand. Blue Cloud said the platform is designed to combine infrastructure assets, energy systems and software-led tools within a single operating structure.

Chairman Janaki Yarlagadda described the move as part of the group's longer-term strategy to expand its footprint in infrastructure tied to digital demand.

The combination of digital capabilities with energy infrastructure and strategic assets creates a foundation for sustained growth. We intend for the AI and data centre infrastructure platform to unlock new opportunities across India and international markets, while delivering long-term value for our shareholders," said Yarlagadda.
Blue Cloud expects the new vertical to target multiple revenue streams, including infrastructure project work, contracted data centre and energy services, and recurring digital service revenue. The deal is also intended to broaden its exposure to renewable energy and infrastructure markets while adding longer-duration contracted business lines.
The acquisition would mark a notable shift in Blue Cloud's profile, from a technology services group to an owner and developer of infrastructure tied to energy supply and data processing demand, with the Odisha site as the core physical asset in that plan.
